Acceptance of Terms
The Products and Services that are provided by iVault are
subject to the following terms of use unless otherwise specified. iVault
reserves the right to change the Terms of Use at any time without notice to
you. The most recent version of the Terms of Use is available on the iVault
website by clicking the link “Terms of Use” located at the bottom of our
website.
Usage Limitations
The Products and Services provided by iVault are for your
personal and non-commercial use, unless otherwise stated. You may not
duplicate, modify, transmit, display, perform, reproduce, license, derive other
works from, transfer, or sell any software, products, services or information
obtained from the Products and/or Services.
General Notice
Under no circumstance shall iVault and/or its suppliers be
liable for any special, indirect or consequential damages or any damages
whatsoever resulting from loss of profits, data or use, whether in an action of
negligence, contract or any other action, as a result of or in connection with
the use of or performance of software, documents, provision of or failure to
provide services, or information available from the Services.
Notice Regarding Software
Any Software that is made available for download from this
web site or other iVault Services is the copyrighted work of iVault and/or its
partner vendors. The use of the Software is governed by the terms set out in
the End User License Agreement (“License Agreement”) accompanying the Software.
Any reproduction, redistribution or use of the Software in
ways not in accordance with the End User License Agreement is expressly
prohibited by law and may result in civil and criminal penalties. Violators
will be prosecuted to the maximum extent possible.
The Software is warranted, if at all, only according to the
terms of the License Agreement. Except as warranted in the License Agreement,
iVault hereby disclaims all warranties and conditions with regard to the
Software, including all warranties and conditions of merchantability, whether
express, implied or statutory, fitness for a particular purpose, title and
non-infringement. iVault does not make any assurances with regard to the
accuracy of results or output that is derived from the use of the Software.
The copying or reproduction of the Software to any other
server or location for further reproduction or redistribution is expressly
prohibited, unless such reproduction or redistribution has been expressly
permitted by the license agreement accompanying the Software.
Notice Regarding Documents
All Documents available on this web site are protected by
copyright laws. No logo, graphic, sound, image, or text may be copied or
retransmitted unless permitted by iVault. Use of such Documents without
permission is expressly prohibited by law, and may result in civil and criminal
penalties. Violators will be prosecuted to the maximum extent possible.
Permission to use Documents from the Services is granted,
provided that (1) use of such Documents is for informational and non-commercial
or personal use only and will not be copied or broadcast publicly, (2) the
copyright notice below and this permission notice appear, and (3) no
modifications to the Documents are made.
iVault and/or its suppliers make no representations about
the suitability of the information contained in the documents and related
graphics published as part of the Services for any purpose. All such documents
and related graphics are provided “as is” without warranty of any kind. iVault
and/or its suppliers hereby disclaim all warranties and conditions with regard
to the Documents and the information they contain, including all those
regarding merchantability, whether express, implied or statutory, fitness for a
particular purpose, title and non-infringement. In no circumstances shall
iVault and/or its suppliers be liable for any special, indirect or
consequential damages or and damages whatsoever resulting from loss of profits,
data or use, whether in an action of negligence, contract or any other action,
as a result of or in connection with the use of information available from the
Services.
User Account, Password and Security
For Services that require you to open an account, you must
complete the registration process by providing iVault with a complete and
current set of information as prompted by the relevant registration process.
You will either be issued with, or asked to choose a password as part of the
registration. In some case you may also be issued a security key (“key”). You
are entirely responsible for maintaining the confidentiality of your password
and key. Furthermore, you are entirely responsible for any and all activities
that take place in relation to your account. You agree to notify iVault
immediately of any unauthorised use of or access of your account or any other
breach of security. iVault will not be liable for any loss that you may incur
as a result of someone else using your password, key or account, either with or
without your knowledge. However, you could be held liable for losses incurred
by iVault or another party as a result of someone else using your password, key
or account. You may not use anyone else’s account without the permission of the
account holder.
No Unlawful or Prohibited Use
As a condition of your use of the Services, you will not use
the Services for any unlawful or prohibited purpose including the terms,
conditions and notices presented in this document. You may not use the Services
in any way that could damage, overburden, impair or disable any iVault server
or any network connected to any iVault server, or interfere with any other
party’s use of the Services. You may not attempt to gain unauthorised access to
any Services, accounts, computer systems or networks connected to any iVault
server. You may not obtain or attempt to obtain any materials or information
through any means not intentionally made available through the Services.
Links to Third Party Sites
Links to other sites allow you to leave the iVault web site.
The linked sites are not under the control of iVault and iVault is not
responsible for the contents of any linked site or any link contained in these
sites. By providing these links to other sites iVault is in no way endorsing
these sites.
Materials Provided to iVault
iVault does not claim ownership of material such as
feedback, suggestions, uploads, images, posts or input submitted or provided to
iVault. However by providing such material you are granting iVault permission
to use the material in connection with the operation of its business and
provision of Services, including, without limitation, the license rights to:
copy, duplicate, transmit, translate, publicly display, publicly perform,
reproduce, edit and reformat the material; to publish your name in connection
with the material; and the right to sublicense these rights to any of iVault’s
suppliers.
Use of your material is at iVault’s sole discretion and no
compensation will be paid with respect to the use of your material, as provided
herein.
By providing iVault with material you warrant and represent
that you own or otherwise control the rights of the material including, without
limitation, all the rights necessary to permit you to provide the material to
iVault.
Unsolicited Idea Submission
To avoid potential misunderstandings and disputes,
unsolicited ideas should not be submitted to iVault. iVault does not make any
assurances that ideas and materials you submit to iVault will be treated as
confidential or proprietary.
